The application to resume existence allows a dissolved legal person constituted under a Québec law to resume its activities.
Procedure for filing an application to resume existence
A director or an interested third party may file an application to resume the existence of a company or non-profit legal person constituted in Québec that has been dissolved:
after January 1, 1994 for failure to register in the enterprise register,
before January 1, 1994 for failure to produce its annual reports.
To find out about the fees applicable to a resumption of existence, see Registraire des entreprises rates (in French only). Rates vary according to the documents to be produced.
Processing your application
The Registraire des entreprises will deposit in the register an order confirming that the legal person has resumed its existence. From the date of such deposit, the latter will be deemed never to have been dissolved. In addition, depositing the order with the enterprise register will have the effect of registering the company or non-profit legal person.
